Terms of Use

Effective May 1, 2025

1. Agreement to Terms

By accessing or using Bearcat ("the Service"), operated by Shadow Broker LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

2. Beta Software

Bearcat is currently in beta. The Service is provided for evaluation and testing purposes. During the beta period:

  • Features, pricing, and functionality may change at any time without notice.
  • Data may be reset, migrated, or deleted as part of development.
  • Access is by invitation only and may be revoked at our discretion.
  • Service availability is not guaranteed.

We strongly recommend maintaining your own backups of any important business data you enter into the Service.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service. By using Bearcat, you represent that you meet these requirements.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at steve@shadowbrokerllc.com if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, to be harmful to the Service or other users.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property rights of others.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Scrape, reverse-engineer, or copy the Service without our written permission.
  • Use the Service on behalf of a competitor or to build a competing product.

6. Your Data

You retain ownership of all data you enter into Bearcat. By using the Service, you grant us a limited license to store and process your data solely for the purpose of providing the Service to you. We do not sell your data or use it for advertising.

You are solely responsible for the accuracy and legality of the data you enter, including client information, financial records, and any documents you upload.

7. Payment Processing

Payment processing within the Service is handled by Stripe, Inc. By using payment features, you agree to Stripe's Terms of Service. Shadow Broker LLC does not store full payment card information.

8. Intellectual Property

The Service, including its design, code, features, and content, is owned by Shadow Broker LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Bearcat is a business management tool. It does not provide legal, financial, tax, or accounting advice. Consult qualified professionals for those needs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOW BROKER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Nevada.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
